These Terms of Use apply to the use of the PadelUNO portal ("PadelUNO"). Please read these Terms of Use carefully before accessing and using PadelUNO. By accessing or using PadelUNO, you agree to be bound by these Terms of Use.
  
If you do not agree to these Terms of Use, you shall not use PadelUNO. If you continue to access and use PadelUNO, you will be deemed to have accepted these Terms of Use. These Terms of Use must be read in conjunction with any other applicable terms governing the use of PadelUNO, including the Privacy Policy of the Internatinoal Padel Federation (“IPF”) available at:https://www.padelfip.com/privacy/.
  
 We may amend these Terms of Use at any time by making changes to this page or, where appropriate, by email. If you continue to use PadelUNO after changes are made or after receiving written notice, you will be deemed to have accepted the amended Terms of Use.
  
1. About PadelUNO and Crionet
  
 1.1. PadelUNO is owned and operated by Crionet s.r.l. ("Crionet," "we," "us," "our"), a company incorporated under the laws of Italy (registration number IT07834340635), with registered office in Napoli (Italy), Via Orazio 31.
  
 1.2. Crionet provides PadelUNO to professional padel players ("Players”) participating in IPF tournaments, including Premier Padel ("Tournaments"), on behalf of IPF. Players shall be referred to as "Users," "you," or "your" in these Terms of Use.
  
 1.3. PadelUNO is an online padel tournament management system (advanced forms server) which enables Players to register for participation to Tournaments and manage their schedules in connection with the Tournaments.
  
2. Accessing and Using PadelUNO
  
 2.1. Subject to your ongoing compliance with these Terms of Use, we grant you a limited, personal, non-transferable, revocable, and non-exclusive license to access and use PadelUNO for the purposes stated in Section 1.3.
  
 2.2. Your use of PadelUNO is subject to the most current version of the Terms of Use posted on PadelUNO at the time of use.
  
 2.3. We may, for technical, legal, or operational reasons make procedural or technical alternations and/or improvements to PadelUNO and may suspend, restrict, or withdraw access to PadelUNO for any reason, temporarily or permanently in whole or in part, with or without notice. We shall not be liable to you for any such alteration, suspension, restriction, or withdrawal.
  
 2.4. If we suspend or terminate your access to or use of PadelUNO, you will continue to be bound by the Terms of Use that were in effect as of the date of your suspension or termination.
 
 2.5. We are not responsible for providing the technical means for you to access PadelUNO. You are responsible for making all necessary arrangements to obtain access to PadelUNO, including, without limitation, any required equipment and software.
 
3. Your Account
  
 3.1. In order to be able to access PadelUNO, you must register an account on the platform ("Account").
  
 3.2. Before using PadelUNO, you must complete your Account profile and set a unique username and password. Each time you access PadelUNO, you will be required to log in using your username and password ("Login Details"). You agree to provide true, accurate, current, and complete information when creating an Account and when using PadelUNO, and you are responsible for keeping such information up-to-date.
  
 3.3. You are solely responsible for all activity that occurs on your Account, whether or not authorized by you. Therefore, be sure to protect the confidentiality of your Account credentials, including your Login Details.
  
 3.4. If you have any reason to suspect that your Login Details have been disclosed or shared, or that your Account is being misused, you must notify Crionet immediately and take all necessary steps to prevent further unauthorized access, including changing your Login Details and taking other security measures provided by Crionet. Crionet shall not be liable for any loss or damage resulting from unauthorized use of your Account.
  
 3.5. If you are a Player, and you authorize members of your support team (including, for example, coaches, family members, agents, and personal trainers) to access and use PadelUNO, you are responsible for ensuring their compliance with these Terms of Use, and you shall be fully liable for the acts or omissions as if they were your own.
  
 3.6. We reserve the right to terminate your Account, and to delete any information you have submitted on PadelUNO at any time and for any reason, including a breach of these Terms of Use.
  
4. Your Obligations
  
 4.1. You may only use PadelUNO for lawful purposes and must not use it in any way that breaches applicable laws or has any unlawful or fraudulent purpose or effect.
  
 4.2. When creating an Account and using PadelUNO, you shall not:
  
 4.2.1. create more than one Account or impersonate other persons;
 4.2.2. share, sell, or provide access to your Account (including Login Credentials) to another person or entity;
 4.2.3. use PadelUNO for unlawful, misleading, or fraudulent purposes;
 4.2.4. attempt unauthorized access to any part of PadelUNO or collect information in unauthorized ways;
 4.2.5. license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit PadelUNO or any information thereon, or make PadelUNO available to any third party in any way;
 4.2.6. interfere or attempt to interfere with the proper functioning of PadelUNO;
 4.2.7. take any action which imposes an unreasonable or disproportionately large load on PadelUNO's infrastructure;
 4.2.8. gain or attempt to gain unauthorized access to any system or network connected to PadelUNO;
 4.2.9. reverse compile, disassemble, or engineer PadelUNO or its technologies; or
 4.2.10. use or access PadelUNO to develop a competing product or service.
  
 4.3. You warrant and undertake not to upload to PadelUNO any information that:
  
 4.3.1. is libellous, defamatory, obscene, pornographic, or sexually explicit, abusive, or otherwise violates any law;
 4.3.2. infringes any patent, trademark, database right, trade secret, copyright, or other proprietary right of any party in any jurisdiction;
 4.3.3. violates any law or contractual relationship (such as confidential information); 

4.3.4. contains viruses or malicious code.
  
5. Security
  
 5.1. You are responsible for preventing unauthorized access to your Account and maintaining the confidentiality of your login credentials.
  
 5.2. We reserve the right to amend or revoke your Login Credentials at any time without notice.
  
 5.3. You must take your own precautions to ensure that the process which you use for accessing PadelUNO does not expose you to the risk of viruses, malicious computer code, or other forms of interference which may damage your own computer system. For the avoidance of doubt, we are not responsible for any interference or damage to your own computer system which arises in connection with your use of PadelUNO.
  
 5.4. While we endeavour to protect the security and integrity of the content collected via PadelUNO, we cannot guarantee that any information, during transmission through the Internet or while stored on our system or otherwise in our care, will be absolutely safe from intrusion by others, such as hackers or unauthorized users.
  
 5.5. If at any time during or after our relationship we believe that the security of PadelUNO may have been compromised, we will seek to notify you of that circumstance without undue delay and, where feasible, within twenty-four (24) hours after we become aware of it. If we have your email address, we may notify you by email to the most recent email address you have provided us in your Account. Please keep your email address in your Account up to date. You can change that email address anytime in your Account profile. To receive these notices, you must check your email Account.
  

6. Your Privacy and Personal Data
 

6.1. Please refer to the IPF privacy policy at https://www.padelfip.com/privacy/for further details. 

6.2 Crionet processes your personal data collected via PadelUNO on behalf of the IPF in its quality of data processor.
  
7. Ownership, Use, and Intellectual Property Rights
  
 7.1. All proprietary rights, including without limitation, copyright, trademarks, database rights, and other intellectual property rights in and to PadelUNO and any content made available on PadelUNO (the "Rights") shall be and remain with us.
  
 7.2. You cannot modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works of, exploit, or distribute in any manner or medium (including by email or other electronic means) any content or information from PadelUNO unless explicitly authorized in these Terms of Use.
  
 7.3. No rights are transferred to you beyond those explicitly granted in these Terms.
  
 7.4. If you submit, upload, or post any materials, information, or content to PadelUNO, you grant us, the IPF and the relevant Tournament a royalty free, perpetual, irrevocable, transferrable, assignable, sub-licensable, worldwide license to use such materials and content, including alterations thereof, in any form, in any media, and via any technology we choose, whether it exists now or is created in the future. You represent that any materials and content posted or otherwise submitted by you to PadelUNO is original and that you have the right to grant us these rights.
  
8. Confidentiality
  
 8.1. You acknowledge that PadelUNO may contain confidential, proprietary, or sensitive information, including, without limitation, information regarding Crionet's and IPF’s business affairs and operations, marketing strategies and techniques, sponsorships, plans for future development, any information provided on PadelUNO, and other information that is not publicly or generally known, which could be used to the detriment of Crionet or IPF ("Confidential Information").
  
 8.2. Except where required by law, you agree not to disclose, directly or indirectly, any such Confidential Information to any person, firm, corporation, association, or other national or international entity for any reason or purpose whatsoever, unless specifically authorized to do so in writing by Crionet. You shall immediately notify Crionet and IPF of any unauthorized disclosure or use of any Confidential Information of which you become aware.
  
 8.3. You acknowledge that breach of this Section 8 may result in the termination of your PadelUNO utilization, and may also subject you to personal liability as well as sanctions for violation of the law.
  
9. Disclaimer
  
 9.1. We cannot guarantee the availability of PadelUNO and you acknowledge that PadelUNO is offered on an "as is" and "as available" basis. This means that we cannot guarantee that:

 9.1.1. PadelUNO will be available to you at any particular time;
 9.1.2. PadelUNO will meet any particular requirements or provide any particular results;
 9.1.3. the information on PadelUNO will be accurate or up-to-date;
 9.1.4. information and materials that you store in your Account or on PadelUNO will remain retrievable and uncorrupted; and
 9.1.5. PadelUNO will be uninterrupted or error-free or will be free of viruses or other harmful components, or that defects will be corrected.
  
 9.2. We shall not be liable for any loss or damage that you may incur if PadelUNO is unavailable for any period of time.
  
 9.3. You agree that the use of PadelUNO is at your own risk. Although we will endeavor to ensure that the information posted on PadelUNO is accurate and up-to-date, we reserve the right to monitor, edit, or remove any information on PadelUNO at any time. We cannot guarantee that the information contained on PadelUNO is reliable, accurate, or complete and we do not accept responsibility for any inaccuracy or omission concerning any information on PadelUNO.
  
 9.4. We are not responsible for any content or materials posted to PadelUNO by Users, nor for disputes between Users, or between Users and third parties.
  
 9.5. These disclaimers apply also to our affiliates and related companies, such as the IPF and the Tournaments as well as third parties that are involved in the creation, production, or distribution of PadelUNO, and any of their employees, contractors, and agents.
  
10. Limitations of Liability
  
 10.1. Neither we nor any of our affiliates, or any of our or their directors, officers, employees, agents, contractors, or service providers, shall be liable (whether for negligence, breach of contract, tort, misrepresentation, restitution, or otherwise) for any loss or damage, howsoever caused (including, without limitation, direct, indirect, incidental, special, consequential, exemplary, or punitive damages and damages for loss of profits, goodwill, use, data, business opportunity, anticipated savings, or other intangible losses) resulting from or in connection with PadelUNO (or the content, materials, services, and functions provided as part of PadelUNO) or your use or inability to use PadelUNO.
  
 10.2. Notwithstanding and without limiting the foregoing, you agree that our liability and the liability of our affiliates, and of any of our or their directors, officers, employees, agents, contractors, or service providers, if any, relating to the use of PadelUNO, will not exceed EUR 100.00. Since some jurisdictions do not allow the exclusion or limitation of certain categories of damages, the above limitations may not apply to you. In such jurisdictions, our liability and the liability of our affiliates, and our and their directors, officers, employees, agents, contractors, or service providers, is limited to the fullest extent permitted by such law.
  
 10.3. We will not be liable or responsible for any failure or delay in the performance of any of our obligations under these Terms of Use caused by events outside our reasonable control (including, but not limited to, the decision of any court or other judicial body of competent jurisdiction, the unavailability of equipment, power, or other commodity, the failure or non-availability of Internet or telecommunications facilities, acts of government or other prevailing authorities, or defaults of third parties).
  
 10.4. You agree that, regardless of any contrary provision or law, any claim or cause of action related to use of PadelUNO or these Terms of Use must be filed by you within 1 (one) year after the relevant fact occurred or will be permanently time-barred.
  
 10.5. The IPF and the Tournaments and any of their and our respective employees, agents, representatives, and/or independent contractors shall benefit of the disclaimers, exclusions and limitations of liability set out in these Terms of Use in Crionet’s favour.
  
 10.6. You agree that the limitations and exclusions set out in these Terms of Use are reasonable in consideration of PadelUNO be available free of charge.
  
11. Indemnity
 

11.1. You shall defend, indemnify, and hold us and our affiliates, the IPF and Tournaments (including our and their respective directors, officers, employees, and agents) harmless from and against claims, actions, proceedings, losses, damages, expenses, and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with or in relation to: (a) your use of or inability to use PadelUNO; (b) the use of PadelUNO by any person using your Account; or (c) your breach of these Terms of Use.
  
 11.2. Section 11 shall survive these Terms of Use and the termination of your use of PadelUNO.
  
12. General
  
 12.1. No failure or delay by a party to exercise any right or remedy provided under these Terms of Use or by law shall constitute a waiver, nor shall it preclude or restrict the further exercise of that or any other right or remedy.
  
 12.2. If any provision of these Terms of Use (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, such provision is deemed severable and will not affect the validity or enforceability of the remaining provisions.
   
13. Third Party Links
  
 13.1. PadelUNO may contain links to third-party websites. We are not responsible for, and do not endorse, the content of any such websites. When you visit a linked website, you should read the relevant terms of use and privacy policy that govern that particular linked website.
  
14. Governing Law
  
 14.1. These Terms of Use, and the relationship between you and us, will be governed by the laws of Italy, without giving effect to any principles of conflicts of law. Should any disputes arise on the interpretation or execution of the obligations in this Terms of Use, the Parties expressly agree to confer exclusive jurisdiction, with the mandatory exclusion of any other competing jurisdiction, to the Court of Roma.
